Preamble

Welcome to the Topease Platform website and to the products and services we provide.

Before completing the registration process or otherwise accessing or using the Topease Platform website services, please carefully read and fully understand these Topease Platform Website Service Terms (hereinafter referred to as the "Service Terms"). Upon confirming your full understanding, you may elect to accept or decline these Service Terms. Once you complete the "Agree to the Terms and Register" process or otherwise commence use of the Topease Platform services, you shall be deemed to have read and agreed to be bound by these Service Terms. If you do not agree to these Service Terms or any provision hereof, you shall not proceed further and shall cease the registration process.

Topease Platform hereby reminds you once again to carefully read and fully understand the contents of each provision, particularly those provisions that limit or exclude liability, which provisions shall be highlighted in bold or by other conspicuous means to draw your attention.

If you are under 18 years of age, please read these Service Terms in the company of your legal guardian.

I. Contracting Party and Scope of Agreement

1.1. These Service Terms apply to the products offered by Shanghai Topease Information Technology Co., Ltd. (hereinafter referred to as "Topease Information", "Topease Platform","Topease") that display or link to these Service Terms.

1.2. Should you use or purchase any specific service on the Topease Platform website, you may also be required to confirm the service terms applicable to such specific service. Please carefully read and fully understand the contents of each provision before electing to accept or decline such service terms.

II. Account Registration, Use, and Security

2.1. Eligibility for Registration

2.1.1. You confirm that, upon completing the registration process or actually using these services through other means permitted by the Topease Platform, you shall be a natural person, legal entity, or other organization with full civil capacity and full civil rights (hereinafter referred to as "you").

2.1.2. If you are a minor or an individual with limited civil capacity, you shall not possess the foregoing qualifications, and you and your legal guardian shall bear all consequences arising from your improper registration.

2.1.3. You further warrant that you are not the subject of any trade restriction, sanction, or other legal or regulatory restriction imposed by any nation, international organization, or jurisdiction, and that you have not directly or indirectly provided funds, goods, or services to any of the foregoing subjects; otherwise, you may be unable to register normally and use the Topease Platform services.

2.2. Account Registration

2.2.1. Upon completing the registration process by filling in the information as prompted on the registration page, reading and agreeing to these Service Terms, and completing all registration procedures, you may obtain a Topease Platform account and become a Topease Platform user.

2.2.2. The account name ("Account Name") you set or confirm at the time of registration and the password you set shall, upon successful registration, constitute your account (the Account Name and password collectively referred to as the "Account").

2.2.3. The Account Name you set shall not violate national laws and regulations or the Topease Platform's administrative rules, and shall not be likely to cause confusion between your identity and that of the Topease Platform; otherwise, your account may fail to be successfully registered, or the Topease Platform shall have the right to deregister it upon notice to you.

2.2.4. You shall, in accordance with the requirements of applicable laws and regulations or as prompted on the relevant pages, accurately provide and timely update your account information to ensure that it is true, timely, complete, and accurate. If the information you provide is erroneous, untrue, outdated, or incomplete, the Topease Platform may issue inquiries and/or correction notices to you, and you shall cooperate in providing or updating the relevant information in accordance with the Topease Platform's requirements. Where the information you have furnished is untrue, untimely, incomplete, or inaccurate, you shall bear the consequences and losses arising from your inability to use the Topease Platform account (whether due to failure of registration, account freezing, or account deregistration) or arising during the course of your use.

2.2.5. The Topease Platform may, in respect of the activation of certain products or services, require you to provide additional identification documents and information for further identity authentication or qualification verification, and your account shall only be entitled to use the relevant products or services upon successful completion of such authentication and verification.

2.2.6. In general, your Topease Platform account constitutes the sole identifier for all activities conducted by you on the Topease Platform website, and unless otherwise agreed, each Topease Platform account may independently engage in activities on this website. However, in the following circumstances, the Topease Platform shall be entitled, in its sole discretion, to treat multiple Topease Platform accounts owned by the same and/or affiliated legal entities in a unified manner—for example, where, based on the related information of different Topease Platform accounts in respect of registration, login, and use, the Topease Platform determines that such accounts are in fact those of the same user. Examples of related information include: the same identification document, the same mobile telephone number, the same payment account, the same device, the same address, and the like.

2.3. Account Use and Security

2.3.1. You shall be entitled to log in to the Topease Platform website using your designated Account in order to access the other services provided by the Topease Platform.

2.3.2. The Topease Platform may notify you of service progress and prompt you to proceed with the next steps by means of email, in-platform messages, SMS, telephone, or other comparable means. During the course of service, you shall promptly log in to your Topease Platform account to review and conduct transaction operations.

2.3.3. Each Topease Platform account shall correspond to one and only one legal entity. Except as expressly provided by law, ordered by judicial determination, or consented to by the Topease Platform, you shall not, by any means, transfer, gift, or permit succession of your Topease Platform account.

2.3.4. Your account shall be set by you and kept in your custody, and you shall maintain the confidentiality of your Topease Platform account and password. You shall ensure that you log out of the website by following the proper procedures at the conclusion of each Internet session.

2.3.5. Your account shall be set by you and kept in your custody, and the Topease Platform shall under no circumstances proactively request that you provide your account password. Accordingly, you are advised to safeguard your account and to ensure that you log out and properly exit the Topease Platform at the conclusion of each Internet session. Topease shall not be liable for any losses or consequences arising from your account being compromised, whether due to your voluntary disclosure or due to your having suffered attack or fraud by third parties; you shall seek recourse against the infringing parties through judicial, administrative, or other remedial channels. If you discover any unauthorized use of your Topease Platform account and password by third parties, you shall notify the Topease Platform immediately; the Topease Platform shall assist you in freezing the account, changing the password, or implementing other security settings; you understand that the Topease Platform requires a reasonable period of time to act upon your request, and the Topease Platform shall not be liable for any consequences (including, without limitation, any losses on your part) arising prior to such action and caused by you.

2.3.6. The Topease Platform shall likewise adopt reasonable technical measures on the website service end to safeguard account security.

III. Account Freezing, Deregistration, and Appeal

3.1. Account Freezing

Your Topease Platform account (in whole or in part, including specific permissions or features) may be frozen under the following circumstances (such as restriction of funds withdrawal functionality), and the Topease Platform shall notify you by means of email, in-platform messages, SMS, telephone, or other comparable means:

3.1.1. Where required by the operational and transaction security of the Topease Platform website or services, including where you engage or may engage in any conduct that damages or attempts to damage the fair trading environment or normal trading order of the Topease Platform or its affiliates, or any use of names or brands containing those of the Topease Platform or its affiliates that is likely to mislead others, or any use of certain Chinese or English (whether full or abbreviated), numerals, domain names, or the like for the purpose of expressing or implying any affiliation with the Topease Platform or its affiliates;

3.1.2. Violation of these Service Terms, the relevant rules and regulations of the Topease Platform website (such as trading rules and administrative regulations), service descriptions, or other service agreements/terms;

3.1.3. Violation of national laws, regulations, policies, or legal instruments;

3.1.4. Where you have been the subject of complaints by third parties and the complainants have furnished relevant evidence, while you have failed to provide contrary evidence in accordance with our requirements;

3.1.5. Where the Topease Platform, based on reasonable analysis, determines that there are irregularities in your account operations, earnings, redemptions, or the like;

3.1.6. Where freezing is required by a competent national authority;

3.1.7. Where the Topease Platform reasonably determines that you have engaged in other conduct of a nature similar to the foregoing or giving rise to similar risks.

3.1.8. Where an individual, company, or third-party company employs technical means—such as robotics, web crawling, or artificial intelligence technologies—to automatically scrape, in a targeted manner, any content, data, or pages of the Topease Platform.

3.2. Account Deregistration

3.2.1. In the event that any of the circumstances set forth in Section 3.1 above occurs and the circumstances are serious, or pursuant to the requirements of a competent national authority, your Topease Platform account (in whole or in part, including specific permissions or features) shall be deregistered, and the Topease Platform shall notify you by means of email, in-platform messages, SMS, telephone, or other comparable means.

3.2.2. Where any conduct occurs that damages or attempts to damage network security (including, without limitation, phishing, hacking, network fraud, hosting or suspected dissemination of viruses, Trojan horses, or malicious code on websites or storage spaces, or suspected attacks on other websites or servers via the server, including scanning, sniffing, ARP spoofing, DDoS, and the like);

3.2.3. You understand and agree that, if you fail to log in to the Topease Platform website through your account for twelve (12) consecutive months and no unexpired service exists under your account, the Topease Platform shall have the right to deregister your account, and you shall no longer be able to log in to the Topease Platform website.

3.3. Appeal

Where the foregoing account freezing or deregistration occurs, you should promptly take note thereof and may follow the established procedures to lodge an appeal or undertake other follow-up actions:

3.3.1. Where you apply to the Topease Platform through the appeal procedure for release of the foregoing freezing or deregistration, in the interest of your account security, you shall cooperate by truthfully providing identification certificates and related materials, as well as any other information or documents requested by the Topease Platform, to facilitate verification by the Topease Platform. You shall fully understand that your appeal is not necessarily to be granted, and the Topease Platform shall have the right to determine whether to accept your appeal request.

3.3.2. You understand and agree that, if you refuse to truthfully provide identification certificates and related materials, or fail to pass the Topease Platform's review, the Topease Platform shall have the right to indefinitely freeze such account and to indefinitely restrict some or all functionalities of the account.

IV. Platform Services and Standards of Conduct

4.1. You shall be entitled to the Internet technology services and information services provided by the Topease Platform through this website. You shall further fulfill your responsibilities for timely payment, service administration, and other obligations in accordance with these Service Terms and the relevant terms and conditions confirmed by you at the time of purchasing the specific services.

4.2. In your use of the Topease Platform's services, you shall warrant that:

4.2.1. In your use of the Topease Platform services, you shall comply with national and local laws and regulations, industry practices, and social public morals, and shall not utilize the services provided by the Topease Platform to store, publish, or disseminate the following information or content:

(i) Any content (information) that violates national laws, regulations, or policies;

(ii) Political propaganda and/or news information in violation of national regulations;

(iii) Information concerning state secrets and/or national security;

(iv) Information involving feudal superstition, obscenity, pornography, indecency, or incitement to crime;

(v) Information concerning gambling, sweepstakes, or gambling games; information in violation of national ethnic and religious policies;

(vi) Information that endangers the operational security of the Internet;

(vii) Information that infringes upon the lawful rights and interests of others and/or other information or content detrimental to social order, public security, or public morals;

(viii) You further covenant that you shall not facilitate any third parties in publishing the foregoing information not in compliance with national regulations and/or these Service Terms, including, without limitation, by setting URL or banner links;

(ix) You shall not install or use pirated software on the Topease Platform; you shall bear sole responsibility for the consequences arising from your conduct (such as self-installed software and operations performed);

(x) You understand that the Topease Platform cannot warrant that the services it provides are entirely free of defects, but the Topease Platform covenants to continuously enhance service quality and service standards. Accordingly, you agree that even if defects exist in the services provided by the Topease Platform, where such defects are unavoidable given the prevailing technological standards of the industry, such defects shall not be deemed a breach by the Topease Platform.

4.2.2. You shall not engage in any conduct that damages or attempts to damage network security, including not using technical or other means to damage or disrupt this website and the websites of other Topease Platform customers.

4.2.3. Your use of the services on the Topease Platform website shall comply with these Service Terms;

If you breach the foregoing warranties, the Topease Platform shall have the right, in addition to taking measures such as deletion of information, suspension of services, or termination of services pursuant to the relevant service terms, to freeze or deregister all or part of your account functionalities.

4.3. Online Purchase Services

4.3.1. Service fees shall be set forth and publicly displayed on your order page, and you may select the specific service type and pay at the listed price.

4.3.2. The Topease Platform shall commence providing services only upon receipt of your payment. If you fail to pay immediately following the placement of your order, the order shall be reserved for you for seven (7) days; upon the expiration of seven (7) days, if you have still not made payment or if the service has been upgraded, taken offline, or the fees have been adjusted, the order shall immediately become invalid, and the meeting of the minds between the Topease Platform and you regarding the services shall be of no effect.

4.3.3. Following your payment, certain online purchase services are non-refundable. Whether refunds are permitted will be indicated during the purchase process of the respective service.

V. Protection of Privacy and Personal Information

Your trust is of paramount importance to the Topease Platform, and the Topease Platform fully appreciates the importance of user information security. The Topease Platform shall, in accordance with the requirements of applicable laws and regulations, adopt security protective measures to keep your user information secure and under control. For specific details, please refer to the Topease User Privacy Policy.

VI. Intellectual Property

6.1. We respect intellectual property rights, and unless your consent has been obtained, the Topease Platform shall not, without authorization, use, modify, copy, publicly disseminate, alter, distribute, publish, or publicly display any work product in which you hold intellectual property rights.

6.2. Any organization or individual that believes that the content of the web pages of the Topease Platform website—such as reproduced articles, product information published by market service providers, and the like—may infringe upon its lawful rights and interests may submit a written notice of rights to the Topease Platform at advise@topease.net, and the Topease Platform shall, upon receipt of a qualifying notice from the intellectual property rights holder, handle the matter as promptly as possible in accordance with applicable law.

6.3. Unless otherwise stated, the intellectual property rights in the Topease Platform website logo, the textual elements "Topease Platform" and their graphical and combined forms, as well as the other identifiers, emblems, names of Topease Platform services, and technical documentation of the Topease Platform website, shall vest in the Topease Platform and its affiliates.

6.4. You shall respect the intellectual property rights and other lawful rights/interests of the Topease Platform and third parties, and undertake to indemnify and hold harmless the Topease Platform and its employees, shareholders, partners, and the like from any impact or losses arising in the event of any violation involving infringement of the foregoing rights or interests. The Topease Platform reserves the right to terminate the provision of services to you and to make no refund of any amounts paid in the event of your infringement of the Topease Platform's and/or any other third party's lawful rights/interests.

VII. Confidentiality

The Topease Platform covenants to adopt confidentiality measures with respect to the information submitted or made known during your account registration or use of the Topease Platform services, and not to disclose your information to any third party, except:

7.1. Where disclosure is permitted pursuant to these Service Terms or other service agreements, contracts, online terms, or comparable provisions between you and the Topease Platform;

7.2. Where disclosure should be provided pursuant to the requirements of applicable laws and regulations or administrative, judicial, or other authorities exercising statutory functions;

7.3. Where, without violating the confidentiality obligations under these Service Terms, the confidential information has already become public or has been obtained from the public domain.

VIII. Export Controls

The parties covenant to comply with the export control laws and regulations of the United Nations, China, the United States, and other applicable countries. You covenant that you shall not use any product or service provided by the Topease Platform for any purpose prohibited by applicable export control laws and regulations. Without the permission of the relevant competent authorities, neither you nor any individual or entity authorized by you to use the Topease Platform's products or services shall provide controlled technology, software, or services to any entity or individual prohibited under applicable export control laws and regulations through the Topease Platform's products or services.

IX. Information Security Incidents

The Topease Platform shall, through Topease's Security Emergency Response Center, respond to information security incidents in a timely manner, and shall administer information security incidents in accordance with the requirements of applicable laws and regulations and the relevant security incident handling standards. Upon the occurrence of an information security incident involving your relevant assets, we shall, in accordance with applicable law, promptly inform you of the relevant circumstances by means of email, written correspondence, telephone, push notifications, or other comparable means, and you may proactively contact us through service tickets, customer service hotlines, key account manager hotlines, or other means.

X. Scope of Liability and Limitation of Liability

10.1. You understand and agree that you shall bear any third-party claims arising from your use of these services, breach of these Service Terms, or any action taken under your account. Should the foregoing give rise to third-party claims against the Topease Platform and its affiliates, employees, customers, and partners, you shall undertake the handling thereof and shall indemnify the Topease Platform and its affiliates for all losses and liabilities suffered as a result.

10.2. To the maximum extent permitted by applicable law, the Topease Platform shall not be liable for any indirect, punitive, special, or consequential damages relating to or arising from these Service Terms.

10.3. The Topease Platform hereby reminds you that during your use of the Topease Platform's services, you shall comply with the laws of the People's Republic of China, shall not endanger network security, and shall not utilize the Topease Platform's services to engage in activities infringing upon the reputation, privacy, intellectual property, or other lawful rights and interests of others. The Topease Platform shall not be liable for any illegal or non-conforming acts on your part in using the Topease Platform services.

10.4. Where Topease Platform users upload, provide, or publish relevant information on the forums, communities, and cloud marketplace of the Topease Platform website—including, without limitation, user name, company name, contact persons and contact information, related images, information, and the like—all such information shall be provided by the users themselves, and the users of the Topease Platform shall bear full responsibility under applicable law for the information so provided.

10.5. If you obtain any product or service from any third party through the use of the Topease Platform website—for example, where service providers on the Topease Alliance provide services to you through the cloud marketplace—the service provider shall be responsible to you for the services it provides, and the Topease Platform shall bear no liability whatsoever for such third-party services.

10.6. In certain circumstances, in order to assist you in more conveniently using the Topease Platform's services, the Topease Platform may display the Topease Platform's reference code or software (where such code or software constitutes third-party open source software, you shall comply with the applicable usage requirements of such third-party open source software). Based on the user instructions of the corresponding display pages, such software may permit you to download, undertake secondary development, and perform other related operations. You shall understand and covenant that the intellectual property rights in such code shall vest in the Topease Platform, that you shall expressly identify the rights holder when using such code, and that the Topease Platform shall not be liable for whether you can use or for the outcomes and consequences of your use of such code or software.

10.7. Under no circumstances shall the Topease Platform be liable for any indirect, consequential, punitive, incidental, or special damages, including loss of profits suffered through your use of the Topease Platform's services (even if you have been advised of the possibility of such damages).

10.8. Under any circumstances, the aggregate damages liability assumed by the Topease Platform under these Service Terms shall not exceed the total service fees corresponding to the breaching service.

XI. Force Majeure and Contingencies

The Topease Platform shall not be liable for damages where the Topease Platform website is unable to operate normally due to the following force majeure events or contingencies:

11.1. Force majeure factors such as natural disasters, strikes, epidemics, riots, war, governmental acts, judicial or administrative orders, and the like;

11.2. Public service factors such as power supply failures, communications network failures, and the like;

11.3. Notwithstanding the Topease Platform's diligent management, factors such as routine or emergency equipment and system maintenance, equipment and system failures, and network information and data security.

XII. Governing Law and Jurisdiction

The validity, interpretation, amendment, performance, and dispute resolution of these Service Terms shall be governed by the laws of the People's Republic of China. Any dispute arising out of these Service Terms shall be submitted to the People's Court of Xihu District, Hangzhou City, Zhejiang Province for adjudication.

XIII. Service of Notice

13.1. You understand and agree that the Topease Platform may send notices to you by one or more of the following means: web page announcement, email, in-platform message, SMS, telephone, system message, instant messaging, and the like; and the Topease Platform may rely upon the contact information provided by you as being complete, accurate, and currently effective; the foregoing notices shall be deemed served upon successful transmission.

13.2. Save as otherwise provided in these Service Terms or expressly stipulated as to the means of notice in any separate agreement executed between the Topease Platform and you, notices you send to the Topease Platform shall be served via the communication address, facsimile number, email address, or other contact information officially published by the Topease Platform.

XIV. Update and Termination of Terms

14.1. The Topease Platform reserves the right to amend the contents of these Service Terms and the corresponding service rules, and shall publish or notify the same by means of web page announcement, email, in-platform message, SMS, or other comparable means. Your continued use of these services following any amendment to these Service Terms shall constitute your acknowledgment that you have fully read, understood, and accepted the amended contents and shall be bound by such amended terms.

14.2. These Service Terms shall terminate upon deregistration of your account or upon the mutual agreement of the parties to terminate the website services.

XV. Miscellaneous

15.1. These Service Terms shall comprise the contents hereof, the rules and regulations displayed on the relevant pages of the website, the service descriptions (including operational documentation), and any other terms/conditions confirmed by you by means of clicking. The Topease Platform and you shall both be bound thereby, and the related terms herein may be cross-referenced and construed in conjunction with one another.

15.2. The section headings of these Service Terms are inserted for ease of reference only and shall have no legal or contractual effect.

15.3. If any provision of these Service Terms is deemed abolished, invalid, or unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of these Service Terms and the remaining provisions hereof.

15.4. The Topease Platform reserves the right to transfer, in whole or in part, the rights and obligations under these services to the Topease Platform's affiliates by means of an announcement, in-platform notice, or email notice published on the official website (www.Topease.net).

15.5. Unless otherwise agreed, in consideration of service professionalism, the Topease Platform may further appoint affiliates or other legal entities to provide you with one or more of the specific services on the Topease Platform website, and you may be required to enter into related terms or conditions with such companies. Please carefully read and fully understand the contents of the terms and conditions before electing to accept or decline such terms and conditions.

15.6. The provisions under these Service Terms concerning confidentiality, intellectual property, governing law and jurisdiction, and any other provisions that by their nature ought to survive (such as the warranty as to the truthfulness of registration information), shall not lapse upon termination of these terms.
